YQuant

Terms of Service

Version 2026-10.1, effective October 6, 2026. Adopted by the members of Yarlis LLC on October 16, 2026.

The short version

  • YQuant is software for building and running your own trading strategies. We are not your broker or adviser and we never hold your money.
  • You make every trading decision and you are responsible for the results, including losses.
  • Paper trading, backtests and illustrations are hypothetical. Risk limits and the kill switch help, but cannot guarantee protection.
  • We never charge per trade, per dollar traded or on your profits.
  • Disputes go to individual arbitration unless you opt out within 30 days of accepting these terms.

This summary is for convenience. The full text below is what applies.

1. Agreement to these terms

These Terms of Service ("Terms") are a binding agreement between you and Yarlis LLC ("Yarlis", "we", "us"), a limited liability company formed in North Carolina, for your use of the YQuant website, applications, APIs and related services (the "Service").

By creating an account, clicking to accept, or using the Service, you agree to these Terms, the Privacy Policy, the Risk Disclosure, the AI Disclosure and the Disclaimer, which are part of this agreement. If you do not agree, do not use the Service.

If you use the Service for an organization, you confirm you have authority to bind it, and "you" includes that organization.

2. Who can use the Service

You must be at least 18 years old and able to form a binding contract. You must not be located in, ordinarily resident in, or organized under the laws of a country or region subject to comprehensive sanctions, and you must not be on any government sanctions or restricted-party list.

You must give accurate account information, keep your sign-in credentials secure, and tell us promptly at contact@yarlis.com if you believe your account has been compromised. You are responsible for activity under your account.

Some features, including live trading, may be unavailable in your location. You are responsible for confirming that your use of the Service is lawful where you live.

3. What YQuant is, and is not

YQuant is a software tool. It lets you design strategies, evaluate them against data, run them in a simulated (paper) account, and, where available, send orders you have configured to a brokerage account you control.

Yarlis is not a broker-dealer, investment adviser, commodity trading advisor, commodity pool operator, futures commission merchant, exchange, bank or custodian. We do not hold customer funds or securities, do not execute or clear trades, and do not provide investment, legal, tax or accounting advice.

Nothing in the Service, including templates, examples, documentation, AI output, emails or marketing, is a recommendation or solicitation to buy, sell or hold any security, cryptocurrency, derivative or other instrument, or to adopt any strategy. No fiduciary relationship exists between you and Yarlis.

4. Your trading decisions

You alone decide whether to create, publish, activate, pause or stop a strategy, which instruments it trades, and which limits apply. You are responsible for reviewing every strategy and its settings before it runs, for monitoring it while it runs, and for every order it places.

Automated strategies can place many orders quickly and can behave unexpectedly because of errors in logic, data, connectivity or third-party systems. Only trade with money you can afford to lose.

You are responsible for complying with laws that apply to your trading, including securities, commodities, tax and reporting obligations, and with your broker’s terms.

5. Paper trading, backtests and hypothetical results

Paper trading, backtests, sample data and illustrations are simulations. They do not involve real money, are prepared with the benefit of hindsight or modeled assumptions, and cannot account for every real-world factor, such as liquidity, slippage, fees, order rejections, outages or the psychological impact of real losses.

Hypothetical or simulated results have inherent limitations and are not a reliable indicator of future performance. No representation is made that any account will or is likely to achieve profits or losses similar to those shown.

6. Brokerage accounts and third-party services

Where live trading is available, orders are routed to a brokerage account that you open and control. Your broker executes, clears and holds your assets, and your broker’s agreements, fees and protections apply. We are not a party to your broker agreement and are not responsible for your broker’s acts, omissions, outages, pricing or insolvency.

You authorize us to transmit instructions to your broker as configured by you. We request trade-only permissions and refuse credentials that allow withdrawals. You may revoke access at any time from your broker or the Service.

The Service relies on third parties such as hosting, authentication, market data and AI providers. Their services may be interrupted, delayed or inaccurate, and their own terms may apply.

7. Risk controls are safeguards, not guarantees

Risk policies, order limits, position caps and the kill switch are designed to reduce, not eliminate, risk. They depend on software, data and third parties that can fail or lag. Gaps, halts, fast markets or system errors can produce losses larger than your limits.

Activating the kill switch stops new orders from being created by the Service. It may not cancel orders already sent to a broker, close open positions, or prevent activity you initiate elsewhere.

8. AI features

AI features may explain, summarize or propose changes. Their output is general and educational, may be inaccurate or incomplete, and is not advice. AI features cannot place orders, publish strategies or change limits without your explicit confirmation, and you are responsible for anything you accept.

If you connect your own AI provider key, that provider’s terms and data practices also apply to what you send to it.

9. Market data

Market data shown in the Service may be delayed, simulated, sample or sourced from third parties, and may contain errors or gaps. It is provided for use within the Service only. You may not redistribute, resell or publish it except as the data provider’s terms allow.

10. Acceptable use

You agree not to use the Service to:

  • manipulate markets, including spoofing, layering, wash trading, marking the close, pump-and-dump schemes or front-running;
  • break any law or regulation, evade sanctions, or launder money;
  • attempt to escape the strategy sandbox, access other users’ data, probe or bypass security or rate limits, or disrupt the Service;
  • reverse engineer, scrape or copy the Service except as the law expressly permits;
  • share accounts or credentials, resell the Service, or provide investment advice to others through it without the required registrations; or
  • upload malicious code or content that infringes the rights of others.

11. Your content

You own the strategies, settings and other content you create ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process and display Your Content only as needed to operate, secure, support and improve the Service and to comply with law.

If you send us feedback or suggestions, we may use them without obligation to you.

12. Our intellectual property

The Service, including its software, design, logos and documentation, belongs to Yarlis and its licensors. We grant you a limited, revocable, non-transferable license to use the Service under these Terms. The Yarlis name and mark may not be used without our written permission.

13. Plans, fees and billing

Some features require a paid plan. Plan prices, included allowances and usage rates are shown before you buy. Our fees are never based on the number of trades, the value traded or your profits.

Paid plans renew automatically until cancelled. You can cancel at any time and your plan stays active until the end of the paid period. Except where the law requires otherwise, fees are non-refundable. Prices exclude taxes, which you are responsible for.

We will give at least 30 days’ notice before a price increase takes effect for your plan.

14. Early access and changes to the Service

Features labeled early access, preview, beta or coming soon may be incomplete, change, or be discontinued. Descriptions of planned features are statements of current intent, not commitments. We may modify the Service, and will give reasonable notice before removing a feature you pay for.

15. Suspension and termination

You may close your account at any time. We may suspend or terminate access, or stop running strategies, if you breach these Terms, if required by law or a regulator, to protect users, markets or the Service, or if your account is inactive for an extended period. Where practical we will notify you first.

When access ends, running strategies stop creating orders. We keep records as described in the Privacy Policy and as the law requires. Sections that by their nature should survive termination will survive, including those on fees owed, disclaimers, liability, indemnity and disputes.

16. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY STRATEGY, SIGNAL, RISK CONTROL OR DATA WILL PERFORM AS EXPECTED OR PRODUCE ANY RESULT.

17. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, YARLIS AND ITS AFFILIATES, OFFICERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, MISSED OPPORTUNITIES, LOST DATA OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US $100.

Some jurisdictions do not allow certain exclusions or limits, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, such as for fraud, gross negligence or willful misconduct.

18. Indemnification

You will defend, indemnify and hold harmless Yarlis and its affiliates, officers and employees from claims, losses and expenses, including reasonable legal fees, arising from your use of the Service, Your Content, your trading, your breach of these Terms, or your violation of any law or third-party right.

19. Dispute resolution and arbitration

Please contact us first at contact@yarlis.com. Both of us agree to try to resolve any dispute informally for at least 60 days before starting a formal proceeding.

If we cannot resolve it, you and Yarlis agree that any dispute arising from or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring an individual claim in small claims court, or seek an injunction for misuse of intellectual property.

CLASS ACTION WAIVER: CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING.

Opt out: you may reject this arbitration agreement by emailing contact@yarlis.com within 30 days after you first accept these Terms, with your name, account email and a clear statement that you opt out. Opting out does not affect any other part of these Terms.

20. Governing law

These Terms are governed by the laws of the State of North Carolina and applicable federal law, without regard to conflict-of-laws rules. Subject to the arbitration section, the state and federal courts located in Wake County, North Carolina have exclusive jurisdiction. If you are a consumer in a jurisdiction whose mandatory laws give you additional rights, those rights are not affected.

21. Changes to these Terms

We may update these Terms. We will post the new version with its effective date, and for material changes we will notify you by email or in the Service at least 30 days before they take effect. If you keep using the Service after the effective date, you accept the updated Terms. If you do not agree, stop using the Service and close your account.

22. General

These Terms and the documents they reference are the entire agreement between you and Yarlis about the Service. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. You must comply with export control and sanctions laws.
